# Guest Meeting Terms

Version: 15 October 2026.

These terms are between **MVV Technologies Limited**, a company registered in England and Wales with company number 17300982, whose registered office is at Suite 301, 18-24 Turnham Green Terrace, London, England, W4 1QP ("**MVV**"), and you, a person invited to an MVV video call (a **guest**). You accept them on MVV's join page, before you join the video call that your invitation is for (the **call**). If you join the call for a business, these terms also bind that business if you have its authority to accept them for it; if you do not, they bind you alone.

## 1. Why these terms

1.1 In the call, an independent sales agent for MVV (the **agent**) shows you the MVV App, MVV's software for construction businesses, and may show you prices, plans and other information about MVV that is not public. MVV shows them to you only so that you can decide whether your business will use the MVV App, and only on these terms.

1.2 These terms do not bind you or your business to buy anything. A subscription to the MVV App is made only by accepting MVV's Terms of Service. The agent is an independent business acting for MVV, and cannot agree any price or term for MVV.

## 2. Keep it confidential

2.1 **Confidential Information** means everything about MVV, the MVV App and MVV's business that you see or hear in the call, including the MVV App's screens and how they work, its features, MVV's prices, plans and offers, and anything shown on a shared screen.

2.2 You will:

(a) use the Confidential Information only to decide whether your business will use the MVV App;

(b) keep it confidential, and not give it or show it to anyone, except to your colleagues and professional advisers who need it for that purpose, whom you tell that it is confidential and who keep it confidential on terms at least as strict as these. You are responsible for what they do with it; and

(c) take at least the care you take of your own confidential information, and never less than reasonable care.

2.3 Clause 2.2 does not apply to information that:

(a) is or becomes public, other than through a breach of these terms;

(b) you knew lawfully before the call, with no duty to keep it confidential;

(c) you receive lawfully from someone else who is free to give it to you; or

(d) you must give by law, or because a court or a regulator orders it. You then give only what is required and, where the law allows, tell MVV first.

2.4 Your duties under this clause 2 last for 3 years from the day of the call. This does not reduce any protection that the law gives MVV's trade secrets.

2.5 Nothing in these terms stops you from reporting a crime, making a disclosure that whistleblowing law protects, giving information to a regulator or taking advice from a lawyer.

## 3. No recording

3.1 You will not record, film, photograph, screenshot, copy, stream or otherwise transmit the call, or anything shown or said in it, in whole or in part, by any means or device. That includes a phone or another camera, screen recording or screen capture software, a recording, transcription or note taking app, and an AI assistant or bot. You may take your own written notes for the purpose in clause 2.2(a); they are Confidential Information.

3.2 You will join the call only as yourself, from your own link, which you will not forward or share. You will not let anyone who was not invited to the call watch or listen to it.

3.3 To help keep to this, your own name and email address are shown faintly over the video and the shared screen, on your screen only.

3.4 MVV knows that no technology can stop a recording made with another device. That is why these terms bind you, and why MVV may enforce them (clause 5).

## 4. MVV's own recording is your choice

4.1 MVV records a call only if every guest who joins it agrees, and may choose not to record it at all. On the join page, separately from accepting these terms, you choose either to agree to MVV recording and analysing the call or to join without recording. Accepting these terms is not agreeing to recording, and you can join the call either way.

4.2 If every guest agrees, MVV records the sound of the call and still images of the screen that the agent shares, never anyone's camera. MVV makes a written transcript of the recording and uses AI to write a report of the call for MVV's sales records. The AI never judges anyone's emotions, mood or personality, and MVV makes no decision about you by automated means.

4.3 If any guest joins without recording, or presses "Stop recording" during the call, the whole call is not recorded, and anything already recorded is deleted without being transcribed or analysed. You can also withdraw your agreement after the call, by email to privacy@mvvtechnologies.com.

4.4 Your camera and microphone, while you have them on, are seen and heard by the others in the call. You may join with both off.

## 5. If these terms are broken

5.1 A breach of clause 2 or 3 could harm MVV in a way that money alone would not put right. MVV may ask a court for an order to stop or prevent it (an injunction), as well as claiming damages for the loss it causes.

5.2 The agent may end the call at any time.

## 6. The record of your acceptance

MVV keeps a record that you accepted these terms (their version, the date and time, the name you typed, the network address and browser you used, and your choice about recording) as evidence, for up to 6 years after the call, as its Privacy Policy says.

## 7. Law, courts and languages

7.1 These terms, and any dispute about them, are governed by the law of England and Wales.

7.2 The courts of England and Wales have non exclusive jurisdiction. MVV and you may also bring proceedings in the courts of the country where you or your business are based.

7.3 Nothing in these terms takes away any right that the law gives you and does not allow to be taken away. If a court finds any part of these terms unenforceable, the rest still applies.

7.4 MVV publishes these terms in English and in Italian. The version you accept, in the language of your call, is the complete text of your agreement with MVV.

# Condizioni per gli ospiti delle videochiamate

Le presenti condizioni sono stipulate tra **MVV Technologies Limited**, iscritta in Inghilterra e Galles con il numero 17300982, con sede legale in Suite 301, 18-24 Turnham Green Terrace, London, England, W4 1QP ("**MVV**"), e Lei, persona invitata a una videochiamata MVV (un **ospite**). Lei le accetta sulla pagina di accesso di MVV, prima di entrare nella videochiamata a cui si riferisce il Suo invito (la **chiamata**). Se partecipa alla chiamata per conto di un'impresa, le presenti condizioni vincolano anche quell'impresa, se Lei ha il potere di accettarle per essa; in caso contrario vincolano soltanto Lei.

## 1. Lo scopo di queste condizioni

1.1 Nella chiamata, un agente di vendita indipendente per MVV (l'**agente**) Le mostra l'MVV App, il software di MVV per le imprese edili, ed eventualmente prezzi, piani e altre informazioni su MVV che non sono pubbliche. MVV Le mostra tutto questo soltanto per permetterLe di decidere se la Sua impresa intende usare l'MVV App, e soltanto alle presenti condizioni.

1.2 Le presenti condizioni non obbligano Lei o la Sua impresa ad acquistare nulla. Un abbonamento all'MVV App nasce soltanto con l'accettazione delle Condizioni di servizio di MVV. L'agente, un'impresa indipendente che agisce per MVV, non ha il potere di concordare prezzi o condizioni per conto di MVV.

## 2. Riservatezza

2.1 Per **Informazioni Riservate** si intende tutto quanto Lei vede o sente nella chiamata su MVV, sull'MVV App e sugli affari di MVV, comprese le schermate e le funzioni dell'MVV App e il loro funzionamento, i prezzi, i piani e le offerte di MVV, e tutto quanto viene mostrato su uno schermo condiviso.

2.2 Lei si impegna a:

(a) usare le Informazioni Riservate soltanto per decidere se la Sua impresa intende usare l'MVV App;

(b) mantenerle riservate, e non darle o mostrarle a nessuno, salvo ai Suoi colleghi e consulenti professionali che ne hanno bisogno per quello scopo, ai quali Lei comunica che sono riservate e che le mantengono riservate a condizioni almeno altrettanto rigorose. Lei risponde di quello che essi ne fanno; e

(c) proteggerle almeno con la cura che dedica alle proprie informazioni riservate, e mai con una cura inferiore a quella ragionevole.

2.3 La clausola 2.2 non si applica alle informazioni che:

(a) sono o diventano pubbliche, se non per una violazione delle presenti condizioni;

(b) Lei conosceva lecitamente prima della chiamata, senza alcun obbligo di riservatezza;

(c) Lei riceve lecitamente da un terzo libero di fornirle; oppure

(d) Lei deve comunicare per legge, o per ordine di un giudice o di un organismo di vigilanza. In tal caso Lei comunica soltanto quanto richiesto e, se la legge lo consente, ne informa prima MVV.

2.4 Gli obblighi di questa clausola 2 durano 3 anni dal giorno della chiamata. Questo non riduce la tutela che la legge riconosce ai segreti commerciali di MVV.

2.5 Nulla nelle presenti condizioni Le impedisce di denunciare un reato, di effettuare una segnalazione tutelata dalla normativa sul whistleblowing, di fornire informazioni a un organismo di vigilanza o di consultare un avvocato.

## 3. Divieto di registrazione

3.1 Lei si impegna a non registrare, filmare, fotografare, copiare, trasmettere in diretta o comunque trasmettere la chiamata, o quanto viene mostrato o detto in essa, in tutto o in parte, con qualsiasi mezzo o dispositivo, e a non farne catture dello schermo (screenshot). Questo comprende un telefono o un'altra fotocamera, un software di registrazione o di cattura dello schermo, un'app di registrazione, di trascrizione o per prendere appunti, e un assistente o bot di intelligenza artificiale. Lei ha il diritto di prendere appunti personali scritti da Lei per lo scopo della clausola 2.2(a); tali appunti sono Informazioni Riservate.

3.2 Lei partecipa alla chiamata soltanto in prima persona, dal Suo link, che non inoltra e non condivide con nessuno. Lei non permette a nessuno che non sia stato invitato alla chiamata di vederla o di ascoltarla.

3.3 Per aiutarLa a rispettare questo impegno, il Suo nome e il Suo indirizzo email compaiono in trasparenza sopra il video e lo schermo condiviso, soltanto sul Suo schermo.

3.4 MVV sa che nessuna tecnologia impedisce una registrazione fatta con un altro dispositivo. Per questo le presenti condizioni La vincolano, e per questo MVV ha il diritto di farle valere (clausola 5).

## 4. La registrazione di MVV dipende dalla Sua scelta

4.1 MVV registra una chiamata soltanto se tutti gli ospiti che vi partecipano sono d'accordo, e ha anche il diritto di non registrarla affatto. Sulla pagina di accesso, separatamente dall'accettazione delle presenti condizioni, Lei sceglie se acconsentire alla registrazione e all'analisi della chiamata da parte di MVV oppure partecipare senza registrazione. Accettare le presenti condizioni non significa acconsentire alla registrazione, e Lei ha il diritto di partecipare alla chiamata in entrambi i casi.

4.2 Se tutti gli ospiti sono d'accordo, MVV registra l'audio della chiamata e immagini fisse dello schermo condiviso dall'agente, mai la videocamera di nessuno. Dalla registrazione MVV ricava una trascrizione scritta e, con l'intelligenza artificiale, un resoconto della chiamata per i propri archivi commerciali. L'intelligenza artificiale non giudica mai emozioni, umore o carattere di nessuno, e MVV non prende alcuna decisione che La riguarda con mezzi automatizzati.

4.3 Se un ospite partecipa senza registrazione, o preme "Interrompi registrazione" durante la chiamata, l'intera chiamata non viene registrata, e quanto registrato fino a quel momento viene cancellato senza essere trascritto o analizzato. Lei ha anche il diritto di revocare il Suo consenso dopo la chiamata, con una email a privacy@mvvtechnologies.com.

4.4 La Sua videocamera e il Suo microfono, mentre li tiene accesi, sono visti e sentiti dagli altri partecipanti. Lei ha il diritto di entrare con entrambi spenti.

4.5 L'informativa sulla privacy di MVV (la Privacy Policy, in inglese) spiega che cosa MVV conserva su di Lei e sulla chiamata, per quale motivo, per quanto tempo, e quali sono i Suoi diritti: https://help.mvvtechnologies.com/legal/privacy/

## 5. In caso di violazione

5.1 Una violazione della clausola 2 o 3 potrebbe danneggiare MVV in un modo che il solo denaro non basterebbe a riparare. MVV ha quindi il diritto di chiedere a un giudice un provvedimento che la faccia cessare o la impedisca (un provvedimento inibitorio), oltre al risarcimento del danno che essa causa.

5.2 L'agente ha il diritto di terminare la chiamata in qualsiasi momento.

## 6. La prova della Sua accettazione

MVV conserva come prova la traccia della Sua accettazione delle presenti condizioni (la versione, la data e l'ora, il nome che Lei ha scritto, l'indirizzo di rete e il browser usati, e la Sua scelta sulla registrazione), fino a 6 anni dopo la chiamata, come spiega la sua informativa sulla privacy.

## 7. Legge applicabile, foro e lingue

7.1 Le presenti condizioni, e ogni controversia che le riguarda, sono regolate dalla legge di Inghilterra e Galles.

7.2 I giudici di Inghilterra e Galles hanno giurisdizione non esclusiva. MVV e Lei possono anche agire davanti ai giudici del Paese in cui Lei risiede o ha sede la Sua impresa.

7.3 Nulla nelle presenti condizioni Le toglie un diritto che la legge Le riconosce e non consente di escludere. Se un giudice ritiene inapplicabile una parte delle presenti condizioni, il resto continua ad applicarsi.

7.4 MVV pubblica le presenti condizioni in inglese e in italiano. La versione che Lei accetta, nella lingua della Sua chiamata, costituisce il testo completo del Suo accordo con MVV.
